  1. Introduction
    These Terms and Conditions (“Terms”) govern your access to and use of the website www.wordsburg.com (“Website”) and the translation and related services (“Services”) offered by Wordsburg Pte Ltd (“Wordsburg”, “we”, “us”, or “our”). By accessing or using the Website or Services, you (“Customer” or “you”) agree to be bound by these Terms. Please read these Terms carefully before engaging with our Services.

  2. Acceptance of Terms and Amendments
    By using the Website or Services, you agree to these Terms. Wordsburg may update these Terms at any time, with changes posted on the Website and notified via email or notice.

  3. Use of Website
    You agree to use the Website solely for lawful purposes and in a way that does not violate the rights of others or interfere with their ability to access or enjoy the Website.

    You must not upload, post, transmit, or otherwise make available on the Website any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, ethnically, or otherwise objectionable.

    You shall not introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

    Wordsburg reserves the right to suspend or terminate your access to the Website without prior notice if you violate these conditions or engage in any conduct that Wordsburg considers inappropriate or harmful.

    The Website and its content are protected by intellectual property laws; you may not reproduce, distribute, modify, or create derivative works without prior written permission.

    Wordsburg strives to keep the Website available and functioning properly but does not guarantee uninterrupted or error-free operation and is not liable for downtime or technical issues.

  4. Service Requests and Contracts
    Service requests are subject to these Terms. No Contract exists until you accept a Quote/Estimate in writing or by payment. Quotes are valid for 30 days. Wordsburg may refuse unlawful or inappropriate content. Delivery times are estimates and subject to change based on project requirements and circumstances.

  5. Payment and Fees
    Fees are as stated in the Estimate and are payable without deduction or set-off. Applicable taxes such as GST or VAT will be charged extra. Payments may be made by credit card (processed via third-party providers such as Stripe), bank transfer, or other methods stated. Payments are due by the specified due date; late payments incur interest at 10% per annum or the maximum permitted by law. Failure to pay may result in suspension or termination of Services.
    Refunds may be given for duplicate charges, incorrect language delivery, or errors, with requests submitted within 30 days after delivery. Please review our full Refund policy for further details.

  6. Customer Responsibilities
    You must provide complete, accurate, and lawful source materials and information. You warrant that you own or have the rights to submit such materials. You are responsible for compliance with all applicable laws regarding intellectual property, data privacy, and the submission of original source documents required for certifications or legalisation.

  7. Intellectual Property
    The Customer retains all rights in the Source Materials supplied to Wordsburg. Wordsburg does not claim ownership of the Customer’s Source Materials.

    Intellectual property rights in Deliverables transfer to the Customer only upon full payment; prior to that, rights remain with Wordsburg.

    Upon full payment, the Customer is granted a non-exclusive, worldwide license to use Deliverables for the Contract’s agreed purposes.

    The Customer indemnifies Wordsburg against claims arising from infringement related to Source Materials or misuse of Deliverables.

    Wordsburg waives any moral rights in Deliverables, as allowed by law.

    Both parties agree to keep intellectual property and proprietary information confidential.

  8. Translation Accuracy and Use of Technology
    The Customer acknowledges that translation and related Services may involve variations in interpretation, style, and quality. While Wordsburg strives for high-quality outcomes, perfect accuracy or suitability beyond the agreed scope is not guaranteed. Customers consent to the use of machine-assisted translation or other technology tools as part of the service delivery where applicable, with appropriate quality controls in place.

  9. Confidentiality and Data Protection
    Both Wordsburg and the Customer agree to keep all Confidential Information strictly confidential, including trade secrets, business operations, pricing, financial data, Customer information, Source Materials, and any marked or reasonably understood confidential information. Confidential Information may only be used to perform the Contract or comply with legal requirements. Disclosure to third parties requires prior written consent, except where legally mandated. Both parties shall implement appropriate technical and organizational measures to protect Confidential Information against unauthorized access, loss, or misuse. These obligations survive expiration or termination of the Contract indefinitely. Wordsburg commits to comply with applicable data protection laws in handling Customer data and materials.

  10. Warranties and Indemnification
    The Customer warrants it has full authority, rights, and licenses to supply Source Materials and request Services without infringing third-party rights or violating laws. The Customer agrees to indemnify, defend, and hold harmless Wordsburg and its affiliates, employees, and agents from any claims, damages, liabilities, costs, or expenses arising out of or related to breach of warranty, misuse of Deliverables, or intellectual property infringements connected with the Source Materials.

  11. Limitation of Liability
    Wordsburg provides Services on an “as is” basis and disclaims all warranties except where prohibited by law. Wordsburg’s total liability for any claim related to the Services or Deliverables will not exceed the fees paid by the Customer for those Services. Wordsburg excludes liability for indirect, incidental, consequential, or punitive damages, including lost profits or goodwill. The Customer assumes all risk related to the use of Deliverables and waives claims against Wordsburg to the maximum extent permitted by law.

  12. Termination and Suspension
    The Customer may terminate the Contract within 30 minutes of payment by written notice. Wordsburg may suspend or terminate Services upon notice if the Customer breaches these Terms or fails to pay. Termination does not affect any accrued rights or obligations. Fees due become payable immediately upon termination.

  13. Dispute Resolution
    Disputes shall first be resolved through good faith negotiations within 14 days. If unresolved, parties agree to mediation via the Singapore Mediation Centre prior to pursuing other remedies.

  14. Force Majeure
    Wordsburg is not liable for delay or failure caused by events beyond reasonable control including natural disasters, strikes, pandemics, or government actions. Deadlines will be extended reasonably in such cases.

  15. Notices
    Notices must be written and sent by email, postal mail, or Website notifications to addresses in the Contract. Notices are deemed received two business days after mailing or upon confirmed electronic transmission.

  16. Governing Law and Jurisdiction
    These Terms and Contracts are governed by Singapore law. The parties submit to Singapore courts’ jurisdiction for dispute resolution.
